Position Summary:

Leads the contracting process including developing MBA standard agreements and reviewing third-party agreements to which MBA will be a party. The Incumbent will create contract templates for MBA Education, Research, Meetings, and other stakeholders, document intellectual property licensing arrangements, draft and review a wide range of agreements, and review government contracts.

Working alongside and under the direction of the General Counsel, areas of responsibility include but are not limited to knowledge of general corporate and commercial law, intellectual property, contracts and licensing arrangements, e-commerce, hotel, convention and special event contracting, and general corporate governance. Familiarity with non-profit organizations, trade associations, federal election filing requirements, and antitrust rules for trade associations recommended.

Duties and Responsibilities:

  • Responsible for preparing, negotiating, reviewing, and administrating MBA's contractual relationships.
  • Develop and maintain expert proficiency in the MBA Contract Management System (CMS) of Record (Link Squares) to draft, process, review, negotiate, finalize, and manage contracts and agreements.
  • Work with the Finance team and other stakeholders to manage the CMS System, monitor the queue, and troubleshoot as needed.
  • Ensure efficient, effective, and compliant performance during the contract lifecycle, including interpretations of contractual requirements, risk mitigation, change management, and conflict resolution.
  • Review and negotiate non-disclosure agreements (NDAs), master services agreements, consulting agreements and subcontract agreements.
  • Working alongside and under the direction of the General Counsel, draft, evaluate, and negotiate a wide variety of contracts and agreements covering a wide range of transactions which includes developing agreements of first impression, such as for new certification arrangements, and new MBA Education programs.
  • Ensure MBA employees understand and comply with association contract administration policy and procedures.
  • Analyze and mitigate potential risks involved with specific contract terms and conditions.
  • Responsible for maintaining MBA's SAM registration.
  • Develop and execute strategies and best practices to drive effectiveness and efficiency in contract management.
  • Ensure contract compliance issues and that concerns are appropriately evaluated, investigated, reported, and resolved.
  • Review and prepare documents supporting the MBA's legal needs and objectives.
  • Upon request, research and analyze statutes, regulations, legal articles, judicial decisions, and other legal sources and provide written analysis to General Counsel or other stakeholders.
  • Organize and expedite workflow, ensuring GC can access information, correspondence, and documents as needed.
  • In addition, there is no guarantee that Incumbent will be assigned to matters involving a particular area of law enumerated above.

Qualifications:

  • A minimum of ten years of specialized contract management experience, whether as a J.D., Senior Paralegal or Contract Manager. Legal Degree or Certified Professional Contract Manager (CPCM) Certification is highly desired.
  • Expert-level ability with Microsoft Office Suite, CMS systems, virtual interaction platforms, LinkSquares or other similar contract repositories software.
  • Excellent analytical skills and the ability to work independently on multiple tasks. Experience in complex contracting arrangements drafting and review required.
  • Knowledge of standard-setting bodies will be a plus, along with some background in one or more areas: e-commerce, government contracting, hotel and special event contracting, corporate governance, not-for-profit entities, trade associations, antitrust, employee benefits, and employment law.
  • Understanding legal language and principles, research methods, court pleadings and processes, and related matters.
  • Some knowledge and experience in government contract administration and compliance.
  • Strong people and excellent written and verbal communication skills with internal and external clients and stakeholders.
  • Proven ability to identify and analyze risk, determining the level of risk and required escalations appropriately.
  • The ability to understand and communicate how terms and conditions impact pricing, schedules, and risk.
  • Understanding of Organizational Conflict of Interest (OCI) issues.
